Website Hosting Service Level Agreement
1. Definition of Terms
1.1 Normal Office hours (09.00 to 17.30) Monday to Friday.
1.2 Out of Normal Office hours are 17.30 to 09.00 Monday to Friday and all day Saturdays, Sundays and Bank Holidays.
2. Hosting Service Availability
2.1 Dijit shall ensure that access via the Internet to The Client Web Site is provided 24 hours a day 7 days a week with continuous monitoring by Dijit, subject to:
(i) scheduled maintenance periods, as required by the host (details of which shall be advised in advance to The Client).
(ii) an average monthly Service availability of 98.5%.
2.2 In the event of loss of Hosting Service availability due to Dijit software or hardware failure, Dijit will use all reasonable efforts to fix the problem as soon as possible.
(i) Bugs in Dijit's software including deadlinks on pages that are not controlled by the client through the administration system and pages not loading will be resolved within 5 hours during normal working hours and within 5 hours of the next working day if out of normal working hours.
(ii) Regarding hardware faults or failure, a duplicate server sits alongside the live server at Telehouse and will take over the hosting within 1 hour should the main server go down. The databases and files are synchronised every night, therefore if the duplicate server takes over, the site content will be as backed up the previous night. In the event that both servers fail at least one will be fixed or replaced within 24 hours.
3. Service support
3.1 Dijit will provide telephone and e-mail support, during normal office hours, to The Client for incidents relating to the correct operation of The Client Web Site. Dijit will respond via email, or telephone during normal working hours, to all The Client support requests within 5 hours between the hours of 09.00 to 17.30 Monday to Friday, excluding public holidays.
3.2 In the event of loss of Service availability Out of Normal Office hours the Client may notify Dijit Support Staff via the Emergency email address 999@dijit.net this sends SMS text messages to Dijit support staff, Dijit will then respond via email within 1 working day.
4. Service Fee
4.1 With the exception of the fee for the provision of hosting services, Dijit’s fee for providing the hosting Support Service shall be charged at an hourly rate of GBP £125.00 per hour. Any works carried out by Dijit during Normal Office hours on The Clients site due to faults out of our control will be charged at an hourly rate of GBP £125.00 per hour.
If the fault is a result of a bug in Dijits original source code this will be fixed free of charge, during Normal Office hours.
5. Bandwidth
5.1 Dijit will ensure that the bandwidth upon which access to the The Client Web Site will be provided via the Server will be a minimum of 2Gb data transfer per month.
6. Performance
6.1 In the event that Dijit fails to meet the performance targets contained in 2.1 above during any calendar month, in addition to any other right or remedy which may accrue to The Client, The Client will be refunded, upon request in writing, an amount equal to the portion of the Monthly Subscription Fee attributable to the Service failures during that month.
7. Back up
7.1 Dijit shall carefully keep all the software, data and other information entrusted to it by The Client pursuant to this Agreement. In particular, Dijit shall make a daily incremental back-up, and a complete weekly back-up. These weekly back-ups shall be stored for a minimum of four weeks. In the event of any incident resulting in loss of data stored on, or comprising, The Client Web Site, Dijit shall restore the data to the state they were in at the time of the last daily back-up, this will be chargeable unless it is the result of a fault by Dijit New Media.
8. Force Majeure
Dijit New Media Limited shall not be liable for any delay or failure in performance of any part of this Agreement or any Service Order(s), to the extent that such delay or failure is caused by fire, flood, explosion, accident, war, strike, embargo, governmental or regulatory requirement, civil or military authority, Act of God, civil unrest, inability to secure materials or labour or any other causes beyond its reasonable control.
